Terms and Conditions

1. Acceptance and operator

These Terms and Conditions ("Terms") form an agreement between you and Softsport Technologies Limited ("Softsport", "we", "our", or "us"), a technology provider based in Kenya.

If you do not agree to these Terms, do not access or use the services. Additional written terms may apply to a paid subscription, implementation, support arrangement, federation, league, tournament, club, or other customer engagement. Where properly agreed additional terms conflict with these Terms, the additional terms control for that engagement.

2. Services covered

These Terms apply to services operated by Softsport, including:

• www.softsport.co.ke;
• the Softsport football-management administration platform;
• www.fkfleagues.co.ke and associated public football information;
• related mobile applications, integrations, APIs, reports, communications, and support services.

Features may include competition administration, fixtures, results, standings, team and player records, match-official appointments, reports, communications, content publishing, and other operational tools.

3. Accounts and authorized access

• You must provide accurate, current information and keep it updated.
• You must protect your password, connected Google account, recovery channels, and authentication devices.
• You may not share credentials or permit another person to use an account assigned specifically to you.
• You must promptly tell us or your organization administrator if you suspect unauthorized access.
• You are responsible for actions taken through your account unless they result from a failure for which Softsport is legally responsible.

Access permissions are determined by Softsport and/or the federation, league, club, tournament, or organization responsible for the service. An organization may add, change, suspend, or remove its users and permissions.

4. Acceptable use

You must use the services lawfully, responsibly, and only for authorized purposes. You must not:

• access data, accounts, systems, or functions without permission;
• impersonate another person or misrepresent your identity, role, organization, or authority;
• upload malicious code, disrupt the services, evade security controls, or probe for vulnerabilities without written authorization;
• scrape, copy, reverse engineer, or automatically extract protected information except where expressly permitted by law or written agreement;
• publish unlawful, defamatory, fraudulent, abusive, discriminatory, or rights-infringing content;
• use personal information for an incompatible or unlawful purpose; or
• use the services in a way that harms Softsport, another user, an organization, or the public.

5. User content and football records

You or the responsible organization retain ownership of information and materials submitted to the services ("User Content"). You grant Softsport a limited right to host, process, reproduce, transmit, format, back up, and display User Content as reasonably necessary to provide, secure, support, and improve the services.

You confirm that you have the authority and lawful basis required to submit and manage User Content, including personal information, photographs, identification details, match information, and information about minors where applicable.

Competition administrators and other authorized users are responsible for the accuracy and legality of fixtures, results, standings, registrations, appointments, reports, publications, and decisions entered through their accounts. Softsport provides technology and does not independently determine sporting eligibility, disciplinary outcomes, competition rules, or the accuracy of organization-supplied records.

6. Google Sign-In and third-party services

Softsport may allow you to sign in using Google. Your use of Google services is also governed by Google's applicable terms and privacy policy. You authorize Softsport to receive the limited profile information described in our Privacy Policy when you choose this option.

The services may link to or depend on third-party hosting, analytics, communications, payment, social-media, mapping, or other services. Third parties control their own services, terms, availability, and data practices. A link does not imply that Softsport controls or endorses all third-party content.

7. Fees, subscriptions, and taxes

Some services are free and others require payment. Prices, billing intervals, user limits, support levels, and included features are stated in the applicable quotation, invoice, order, subscription, or written agreement.

• Fees are payable by the due date and in the stated currency.
• Unless expressly stated otherwise, fees exclude applicable taxes and third-party transaction charges.
• Failure to pay may result in restricted access or suspension after any applicable notice or grace period.
• Refunds are provided only where required by law or expressly agreed in writing.

8. Intellectual property

Softsport and its licensors own the services, software, visual designs, documentation, trademarks, logos, and other materials supplied by Softsport, excluding User Content and third-party materials. All rights not expressly granted are reserved.

Subject to these Terms and applicable payment obligations, Softsport grants authorized users a limited, non-exclusive, non-transferable, revocable right to use the services for their intended business or sporting-administration purposes.

You may not reproduce, sell, sublicense, remove ownership notices from, or create unauthorized derivative works from Softsport materials.

9. Privacy

Our Privacy Policy explains how Softsport collects, uses, discloses, retains, and protects personal information, including information used for Google Sign-In. Organizations using Softsport must also comply with their own data-protection obligations and provide required notices to the individuals whose information they manage.

10. Availability, support, and changes

We aim to provide reliable services but do not guarantee uninterrupted or error-free operation. Availability may be affected by maintenance, updates, internet or hosting failures, third-party services, security incidents, force majeure events, or circumstances outside our reasonable control.

We may update, improve, replace, limit, or discontinue features. Where a material change adversely affects a paid service, we will provide reasonable notice where practicable and address the change according to the applicable agreement and law.

11. Suspension and termination

You may stop using the services at any time, subject to any subscription or organizational agreement. Softsport or the responsible organization may suspend or terminate access where reasonably necessary because of:

• a material or repeated breach of these Terms;
• non-payment;
• security, fraud, abuse, legal, or operational risk;
• a lawful request or regulatory obligation; or
• the end of an organization's authority or service arrangement.

Where appropriate, we will give notice and an opportunity to remedy the issue. Provisions intended to survive termination—including ownership, confidentiality, accrued payment, disclaimers, liability limits, and dispute provisions—will continue to apply.

12. Disclaimers

To the extent permitted by law, the services are provided on an "as is" and "as available" basis. Softsport does not guarantee that every record supplied by users or organizations is accurate, that the services will meet every individual requirement, or that operation will always be uninterrupted or error-free.

Nothing in these Terms excludes warranties, protections, or remedies that cannot lawfully be excluded.

13. Limitation of liability

To the maximum extent permitted by applicable law, Softsport will not be liable for indirect, incidental, special, punitive, or consequential loss, or for loss of profit, revenue, opportunity, goodwill, or data, arising from use of the services.

Where liability cannot be excluded, Softsport's aggregate liability relating to a paid service will not exceed the fees paid to Softsport for that service during the twelve months immediately preceding the event giving rise to the claim, unless applicable law or a written agreement requires otherwise.

Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, wilful misconduct, or another liability that cannot legally be limited.

14. Responsibility for misuse and third-party claims

To the extent permitted by law, you and any organization on whose behalf you act are responsible for claims, losses, or expenses arising from unlawful use of the services, unauthorized User Content, infringement of third-party rights, or a material breach of these Terms. This provision does not apply to the extent a claim results from Softsport's own breach or unlawful conduct.

15. Changes to these Terms

We may update these Terms to reflect service, legal, security, or operational changes. The updated Terms will be posted on this page with a revised effective date. Material changes may also be communicated through the service or appropriate contact channels. Continued use after the effective date constitutes acceptance where permitted by law.

16. Governing law and disputes

These Terms are governed by the laws of the Republic of Kenya. Before starting formal proceedings, the parties should attempt in good faith to resolve a dispute by contacting one another and allowing a reasonable time for a response.

Subject to any mandatory consumer or data-protection rights, the courts of Kenya will have jurisdiction over disputes arising from these Terms or the services.

17. General provisions

• If a provision is unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue.
• A delay in enforcing a right is not a waiver of that right.
• You may not transfer your rights or obligations without our written consent. Softsport may transfer these Terms as part of a reorganization, merger, sale, or transfer of the relevant service, subject to applicable law.
• These Terms, the Privacy Policy, and any applicable written service agreement constitute the agreement concerning use of the services.
